1. Agreement to Terms

By accessing or using SquareDiff's services, website, or any applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using the Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.

2. Description of Services

SquareDiff provides AI agent development, optimization, and deployment services for enterprises. Our Services include but are not limited to:

• AI agent architecture design and development
• Autonomous agent optimization (Optimizer by SquareDiff)
• Data pipeline and evaluation framework creation
• Agent deployment and scaling infrastructure
• Ongoing maintenance and support services

3. User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized access to your account
• Use the Services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the integrity or performance of the Services
• Not attempt to gain unauthorized access to any part of the Services

4. Intellectual Property

The Services and all contents, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of SquareDiff or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purpose. This license does not include the right to:

• Modify or copy the materials
• Use the materials for any commercial purpose without our prior written consent
• Reverse engineer any software contained in the Services
• Remove any copyright or proprietary notations from the materials

5. Client Data and Confidentiality

We understand that our clients entrust us with sensitive business data. We commit to:

• Maintaining strict confidentiality of all client data
• Using client data solely for the purpose of providing the Services
• Implementing industry-standard security measures to protect client data
• Not sharing client data with third parties without explicit consent, except as required by law

You retain all ownership rights to your data. We do not claim any ownership interest in your data.

6. Payment Terms

Payment terms for our Services will be specified in individual service agreements. Unless otherwise stated:

• All fees are quoted in U.S. dollars
• Payment is due within 30 days of invoice date
• Late payments may incur interest at 1.5% per month
• All fees are non-refundable unless otherwise specified in writing

7. Limitation of Liability

To the maximum extent permitted by applicable law, SquareDiff and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

SquareDiff does not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

9. Indemnification

You agree to defend, indemnify, and hold harmless SquareDiff and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
